1. Introduction
Welcome to D-posit, an exclusive invitation-only platform designed to facilitate gifting transactions among consenting adults. By accessing or using this platform, you agree to comply with the following terms and conditions. Please read these terms carefully, as they govern your use of the platform and participation in gifting activities.
2. Eligibility Requirements
To participate on D-posit, you must meet the following criteria:
- Be at least 18 years old.
- Reside in a jurisdiction where gifting is legal.
- Provide accurate personal and payment information, including your full legal name and banking details.
- Join the platform via a personal invitation link from an existing member.
- Complete our KYC (Know Your Customer) process for security and compliance purposes.
3. Nature of the Platform
D-posit is a community-based platform that facilitates voluntary gifting among members. The platform enables communication and tracking of gifts but does not process monetary transactions. Users are responsible for sending and receiving gifts outside the platform, using services like bank transfers, Zelle, or Venmo.
By using the platform, you acknowledge that:
- All transactions are considered gifts, not investments.
- There is no expectation of profit, return, or service in exchange for a gift.
- No person is obligated to return a gift once it has been sent and approved.
4. Registration and Joining Process
4.1 Invitation-Only Access
New users can join D-posit only through an invitation link generated by an existing member. Upon receiving the invitation, the invitee will:
- Click the invitation link and follow the registration process.
- Provide personal details and complete KYC verification to ensure the correct individual uses the invite link.
- Watch a mandatory introductory video explaining the gifting process and compliance regulations.
4.2 Pledge Selection
After verification, users select a pledge amount from the following tiers:
- $100
- $300
- $500
- $1,000
- $3,000
- $6,000
- $10,000
- $18,000 (Current IRS Annual Gifting Limit)
4.3 Bank and Payment Information
To facilitate the gifting process, users must provide accurate payment information, including:
- Bank account details
- Zelle account details
- Venmo, Cash App, or other supported platforms
This information will be used for sending and receiving gifts but will not be stored by D-posit beyond the KYC process.
5. Gifting Process
5.1 Sending a Gift
After selecting a pledge amount, the user will:
- Receive the recipient’s bank or payment details (the person who invited them).
- Send the selected pledge amount outside the platform via their chosen payment method.
- Add 20% to the pledge amount, distributed equally between the two founders (10% each).
- Once the transfer is completed, notify the recipient and founders within the CRM and optionally upload proof of the transaction.
5.2 Approval Process
Once the gift is sent, the recipient (and founders, if applicable) will receive a notification to:
- Confirm receipt of the funds.
- Approve the transaction in the system, granting the sender full access to the platform, including generating invitation links and inviting new members.
5.3 Gift Receipt Limit
Your pledge amount defines your receiving limit:
- If you join at $100, your receiving limit is $100.
- If someone under you pledges $1,000, you will receive $100, and the remainder ($900) will be passed up to members with higher receiving limits.
6. Gifting Acknowledgment and Legal Compliance
6.1 Gifting Statement
Before completing any transaction, all users must sign and acknowledge the Gifting Statement, affirming that the gift is voluntary and that no goods, services, or future returns are expected.
Gifting Statement Summary:
"I, [Name], acknowledge that the $[Gift Amount] sent to [Recipient Name] is a gift with no expectation of return or benefit. I waive any rights to reclaim the gift and acknowledge that my participation is voluntary, legal, and without investment expectations."
6.2 IRS Gift Code Compliance
All gifts made on D-posit must comply with the IRS Gift Tax Exclusion regulations:
- The annual gifting limit is currently $18,000 (subject to change each year).
- Gifts exceeding this limit may be subject to tax, and users are responsible for ensuring compliance.
- A gift letter will be generated for every transaction, certifying the gift for tax and legal purposes.
7. Upgrades and Re-Gifting
7.1 Pledge Upgrades
Users can upgrade their pledges anytime by paying the difference between their current and new pledge amounts. During the upgrade process:
- The user's account will be placed on a 48-hour hold, during which they cannot invite new members.
- The inviter will be notified of the upgrade and allowed to increase their receiving limit to ensure they receive all potential gifts.
7.2 Annual Re-Gifting Requirement
All users are required to re-gift annually:
- The re-gift amount corresponds to the initial pledge or any upgraded amount.
- Users who fail to re-gift within seven days of their anniversary may have their account placed on hold or terminated.
- Failure to re-gift may also result in a reduction of the user’s receiving limit.
Example: If you join with a $1,000 pledge and upgrade to $6,000, you must re-gift $1,000 on your original anniversary date and $5,000 on your upgrade date. Please do so to avoid reducing your receiving limit back to $1,000.
8. KYC and Compliance
8.1 Identity Verification
To ensure the integrity and legality of all participants, D-posit employs strict KYC (Know Your Customer) measures:
- Users must verify their identity through government-issued ID, banking details, and other documentation if required.
- Failure to pass KYC will result in account suspension.
8.2 Anti-Fraud Measures
The platform actively monitors for suspicious activity, including:
- Multiple accounts under the same user.
- Fraudulent or suspicious gifting behavior.
- False transaction claims.
Accounts flagged for fraudulent behavior will be reviewed and potentially terminated.
9. Liability and Risk Disclaimer
9.1 Platform Liability
D-posit does not process or handle financial transactions. Therefore, it is not responsible for:
- Funds lost due to incorrect transfers.
- Fraudulent activities that occur outside the platform.
- Disputes arising from transactions made between users.
9.2 User Responsibility
Users are solely responsible for:
- Maintaining the confidentiality of their account and login information.
- Ensuring accurate and complete transfer details when sending gifts.
10. Modifications to Terms
D-posit reserves the right to amend these Terms of Service at any time. Changes will be communicated through notifications on the platform. Your continued use of D-posit after such modifications constitutes acceptance of the revised terms.
